| Gregory W. Doner |
Mr. Doner possesses lengthy experience in performance-based balance sheet and risk management. He has helped clients throughout the United States increase earnings and enhance share value. As a member of the FFIEC Risk Management Planning series and frequent author in industry publications, he is a well-respected authority on all facets of risk management in financial services companies. He has completed successful rescues of troubled institutions in New England, the Midwest and Plains States. His prior career experience also includes serving as an investment banker, investment portfolio manager, and senior member of the whole bank and branch acquisition team for a major regional bank.

| James F. Bauerle |
Mr. Bauerle has regularly advised financial services companies as they address complex financial issues, merger and acquisition opportunities, as well as the regulatory implications of changes in financial circumstances. On behalf of regional and national companies, he has acquired or sold dozens of companies, lines of business or product portfolios. A lawyer by background and experience, he also has more than two decades of experience structuring and restructuring complex credit facilities aggregating billions of dollars. He has lectured before financial services industry groups on topics ranging from the effectiveness of anti-takeover defenses to optimal uses of capital through mergers and acquisitions.

Mr. Hirsch concentrates his practice as a lawyer in mergers and acquisitions and securities matters. His banking institution transaction experience includes the creation of Ohio banking operations for the nation’s largest commercial bank by combining charters of five indigenous Ohio institutions. He also served as counsel to the State of Ohio in the restructuring of Ohio’s savings bank industry during the late 1980s.
